Formation of Contract

• The provision of Services and/or Products by Fashion-Up.it is governed by these Terms and Conditions, as detailed in a formal Order Form.

• Your agreement to purchase Services and/or Products is confirmed through signing an Order Form, completing online registration, and acceptance or similar assent.

• Acceptance by Fashion-Up.it occurs upon our confirmation via email, the delivery of Services and/or Products, or necessary preparatory actions based on the Order Form, creating a legally binding contract.

Term and Termination

• This agreement commences on the Start Date specified in the Order Form and continues until terminated under the conditions outlined therein.

• Conditions for termination include specified termination provisions in the Order Form or due to unremedied material or repeated breaches within 30 days of written notice.

Warranties

• Fashion-Up.it guarantees that Services and Products will be provided competently and will conform to the standards specified in the Order Form, comply with applicable laws, and match the agreed specifications.

Fees and Payment

• Fees are invoiced in advance unless agreed otherwise.

• Payment terms are as specified in the Contract, or within 30 days of the invoice date for undefined terms.

• Late payments may incur interest and additional recovery costs.

Intellectual Property

• Intellectual property rights in the Services and Products remain with Fashion-Up.it or its licensors. A limited, non-exclusive license is granted to you for internal use during the contract term.

Liability and Indemnification

• Liability for each party is outlined, including indemnification against third-party intellectual property infringement claims, with specific limitations on types of recoverable damages.

Confidentiality and Data Protection

• Both parties commit to securing confidential information and adhering to applicable data protection laws.

AI Imagery Policy

• Fashion-Up.it utilizes AI tools to generate innovative and future-oriented concepts known as “Visual Forecasts”, committing to the open and responsible publication of AI-generated images while respecting intellectual property rights. AI-generated images are credited as "AI Image by Fashion-Up.it".

• We incorporate AI-generated images from accredited sources into our content, ensuring transparency and proper accreditation. Each image undergoes a thorough review before publication to confirm compliance with our standards. We do not share AI-generated content if the original creator’s identity cannot be verified.

Refund Policy

• Due to the digital nature of our products and the customization involved in our services, we are unable to offer refunds once an order is completed and the product or service has been delivered.

• This contract is governed by the laws of Spain, with Spanish courts having exclusive jurisdiction over disputes.
